VAT: not applicable, Article 293 B of the French General Tax Code

Hereinafter “CréaShort”.

Article 2. Scope

These general terms of sale (the “Terms”) apply to all services provided by CréaShort to business clients (the “Client”). Together with the accepted quote, they form the contract between the parties (the “Contract”) and prevail over the Client's purchasing terms.

In case of conflict, the specific terms of the quote prevail over these Terms. The applicable Terms are those in force on the date the quote is accepted.

Article 3. Definitions

  • Services: the strategy, writing, filming, editing, publishing and analysis of vertical videos, as described in the quote.
  • Batch: a set of videos produced together, according to the volume and schedule set out in the quote.
  • Deliverables: the final edited videos, delivered or published.
  • Speaker: anyone who appears or speaks in the videos (executive, expert, Client employee).
  • Platforms: TikTok, Instagram, Facebook, YouTube and any other network set out in the quote.

Article 4. Quote and order

Every collaboration starts with a call, then a tailored quote: number of videos, platforms, travel, schedule and price. The quote is valid for 30 days.

The order becomes firm once the Client returns the quote signed with the words « Bon pour accord » or accepts it in writing and, if the quote so provides, once the deposit is received. CréaShort may decline an order, in particular if the project does not match its expertise.

Article 5. How the Services run

Unless the quote states otherwise, each Batch follows these steps:

  1. Concepts: CréaShort studies the brand and suggests video ideas.
  2. Selection: the Client chooses the concepts to produce and shares its guidance.
  3. Scripts: CréaShort writes the scripts, which the Client reviews and approves.
  4. Filming: CréaShort travels with its equipment to the agreed address and films the Speakers.
  5. Editing: CréaShort edits the videos (pacing, subtitles, graphics), which the Client approves.
  6. Publishing and analysis: if the quote so provides, CréaShort publishes the videos on the agreed schedule and tracks their performance.

Timelines in the quote are indicative. They assume the Client provides feedback and approvals on time.

Article 6. Approvals and revisions

The Client has 5 business days to approve each script and each video, or to request changes. Unless the quote states otherwise, one round of revisions is included per script and per video.

Additional revisions, or any request that changes an item already approved, may be subject to an additional quote. Without a reply from the Client within the set period, then 3 business days after a written reminder, the item is deemed approved.

Article 7. Filming

The date and place of filming are agreed together. The Client provides a suitable location, makes sure it has the authorizations needed to film there, and ensures the scheduled Speakers are present.

Any rescheduling or cancellation of filming by the Client less than 5 business days before the scheduled date may result in the invoicing of costs already incurred (travel, accommodation, equipment rental). A new date is then set according to CréaShort's availability.

Article 8. Client obligations

The Client undertakes to:

  • provide the information, content and access needed (brand guidelines, logos, product information, account access where relevant);
  • review scripts and videos carefully before approving them;
  • hold the rights to the materials it provides (logos, images, music, trademarks);
  • make sure the approved messages are accurate and comply with the regulations of its sector, particularly in regulated fields (health, food, finance).

The Client remains solely responsible for the substance of the messages it approves and for any claims about its products or services.

Article 9. Speakers' image rights

The Client guarantees that each Speaker has agreed to be filmed and to the use of their image and voice in the videos, for the agreed duration and media. When the Speaker is an employee or contractor of the Client, the Client is responsible for obtaining their written consent. CréaShort can provide a consent form template.

The Client indemnifies CréaShort against any claim by a Speaker in this respect.

Article 10. Prices

Prices are set in the quote, in euros. VAT not applicable, Article 293 B of the French General Tax Code. Travel costs are included or charged separately, as set out in the quote. Any service not included in the quote is subject to an additional quote.

Article 11. Payment

Payment terms (deposit, instalments) are set out in the quote. Unless stated otherwise, invoices are payable by bank transfer within 30 days of their issue date. No discount is granted for early payment.

Any late payment automatically incurs, without prior notice, penalties at the European Central Bank refinancing rate plus 10 percentage points, as well as a fixed recovery fee of €40 (Articles L441-10 and D441-5 of the French Commercial Code). If recovery costs exceed this amount, additional compensation may be claimed on proof.

In the event of late payment, CréaShort may suspend ongoing services after a formal notice that remains unanswered for 8 days.

Article 12. Delivery

Videos are delivered in vertical digital format, via a download link or by direct publication on the Client's accounts, as set out in the quote. Rushes (raw footage) and editing files are not delivered unless otherwise agreed.

Article 13. Intellectual property

Subject to full payment of the price, CréaShort assigns to the Client, on an exclusive basis, its economic copyrights in the final videos delivered: rights of reproduction, representation, adaptation (including reframing, translation and subtitling) and distribution, on all digital media (social networks, websites, apps, online advertising) and at events, worldwide and for the legal term of copyright protection.

CréaShort retains ownership of: rushes, working files, concepts and scripts not selected, as well as its know-how and methods.

Music, fonts and stock elements included in the videos remain subject to their licenses. CréaShort informs the Client when a license limits the use of a video, for example in advertising.

Article 14. References

Unless the Client objects in writing, CréaShort may mention its name and logo, and show excerpts of the videos produced and their public results, as business references (website, social networks, presentations).

Article 15. Publishing and Client accounts

When CréaShort publishes on the Client's behalf, the Client gives it access to its accounts, preferably through the Platforms' delegation tools. The Client remains the owner of its accounts and credentials; CréaShort uses them only for the purposes of the Services.

The Platforms alone control their distribution and moderation rules. CréaShort cannot be held liable for a drop in reach, a restriction or a removal decided by a Platform.

Article 16. Results

A video's performance (views, followers, sales) depends on many factors outside CréaShort's control, including Platform algorithms. CréaShort has an obligation of means: it applies all its know-how, without guaranteeing any specific figures. Results achieved for other clients are not a promise.

Article 17. Liability

CréaShort can only be held liable in the event of proven fault. Its liability is limited to direct damage and capped at the amount, excluding tax, actually paid by the Client for the Batch concerned.

CréaShort is not liable for indirect damage (loss of revenue, customers or reputation), nor for the content of messages approved by the Client.

Article 18. Confidentiality

Each party keeps confidential the non-public information received from the other party, for the duration of the Contract and 2 years after it ends.

Article 19. Personal data

Each party complies with personal data protection rules, including the GDPR. When CréaShort processes personal data on the Client's behalf (for example, the Speakers' image or messages received on the Client's accounts), it acts as a processor within the meaning of Article 28 of the GDPR: it processes such data only on the Client's instructions, keeps it confidential and secure, and deletes or returns it at the end of the Services.

The processing of data related to getting in touch is described in the privacy policy.

Article 20. Term and termination

The Contract takes effect when the quote is accepted, for the duration or number of Batches it sets out. In the event of a serious breach by either party, the other may terminate the Contract in writing 15 days after a formal notice that remains unanswered. Services performed up to termination remain due.

Article 21. Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. The obligations concerned are suspended for the duration of the impediment; if it lasts more than 30 days, either party may terminate the Contract in writing.

Article 22. Right of withdrawal

The Services are reserved for businesses, which do not benefit from the right of withdrawal provided for by the French Consumer Code. As an exception, if the Contract is concluded off-premises with a business that employs 5 people or fewer and its subject falls outside that business's main activity, that business has a 14-day withdrawal period (Article L221-3 of the French Consumer Code).

Article 23. Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the parties first seek an amicable solution. Failing agreement within 30 days, the dispute is brought before the competent courts of Paris.
